Working with documents
Uploading and classifying documents
On a matter with a Documents basis, the Documents page holds every file the team is reviewing.
On a matter with a Documents basis, the Documents page holds every file the team is reviewing. Each document is classified to a workstream, which controls who can see it and which AI checks apply.
Open Diligence in the left-hand navigation menu and click Documents.
Prerequisite: You must be a due diligence admin to upload documents. If your matter uses an index instead, see Importing an index.
Uploading documents
- Click Upload
- Choose one of:
- Documents: individual files
- Folder: a folder from your computer
- Zip file: a zip of the seller's folders, unpacked with its structure intact
- Excel folder structure: a folder structure defined in a spreadsheet
- Select your files
You can also click New folder to create folders from scratch.
How documents are classified
When documents are uploaded, the AI classifies each one to a workstream.
Note: This is the only AI step in due diligence that happens automatically without a person accepting it, because accepting every classification one by one would be too much admin.
A sparkle icon next to the workstream shows that the AI made the classification. If the AI has picked the wrong workstream:
- Click the Workstream dropdown on the document's row
- Choose the correct workstream
Once a person changes the workstream, the sparkle disappears and the classification is shown as made by a person.
The documents table
Column | What it shows |
Name | The file name. Click it to open the document viewer |
Workstream | The workstream the document belongs to. A sparkle means the AI classified it |
Reviewers | How many people cover this document. Hover to see who |
Review status | Not reviewed, In progress or Reviewed. Click the status to change it |
Issues | Issues linked to the document |
DDQs | DDQs linked to the document |
Use Search documents, Filters and the Has issues quick filter to narrow the list, Columns to show or hide columns, and Folders or List to switch between a folder view and a flat list.
The document viewer
Click a document's name to open it. The viewer shows the document on the left and four tabs on the right:
- Details: review status, workstream, classification, reviewers, linked issues, folder location and file information
- AI review: run an AI review and see the issues it proposes. See Running an AI review on a document
- Issues: issues raised on this document, and Raise issue to add one
- DDQs: questions linked to this document
Use the arrows next to the file name to move to the previous or next document without closing the viewer.
Seeing what has changed
Click What's new to see everything that has happened in the documents space within a date window, including uploads and new versions. Widen the From and To dates to look further back.
