Issues, gaps and DDQs

Raising DDQs

A DDQ (due diligence question) is a single question you send to the other side, usually the seller's lawyers, to fill a gap or clear up something you have found.

A DDQ (due diligence question) is a single question you send to the other side, usually the seller's lawyers, to fill a gap or clear up something you have found. In Legatics, each DDQ is one question, not a full due diligence questionnaire. Every DDQ on the matter sits on one page, so questions from every workstream go out together.

Open Diligence in the left-hand navigation menu and click DDQs.

Ways to raise a DDQ

Where

DDQs page

Click Add > New question
A spreadsheet
Click Import questions to bring in DDQs from a template, for example one filled in by an external specialist who does not work in Legatics

The Source column shows where each question came from, such as Gap line, Template or Follow up. An AI tag shows the question text was drafted by AI.

DDQ statuses

Resolved
The response was sufficient and the question is closed
Archived

Use the pills at the top of the page to filter by status. Filter by Workstream or Round, and use Group to change how questions are grouped.

References are only given when a question is sent, so archived drafts never use up a number.

Preparing questions for a round

  1. Click Check for duplicates. Legatics looks for questions that ask the same thing, which is common when several workstreams add questions. A warning triangle next to a question shows a possible duplicate. Hover over it to see which question it may duplicate, then merge or archive as needed
  1. On each question that is ready, click ... and choose Mark ready to send
  1. Archive or delete any draft that is not needed from the same menu

When the questions are ready, send the round. See Sending DDQ rounds and assessing responses.

Opening a question
