Setting up due diligence
Enabling due diligence on a matter
Due diligence is turned on per matter. Once it is enabled, a Diligence area appears in the matter's left-hand navigation menu.
Due diligence is turned on per matter. Once it is enabled, a Diligence area appears in the matter's left-hand navigation menu.
Prerequisite: To enable due diligence on an existing matter, you must be a Matter Admin.
When you enable due diligence you also choose the matter's document basis: whether the team will work from real documents or from an imported index of the seller's data room.
Choosing a document basis
A due diligence matter works either from real files or from an imported index, never both.
- Documents: the team works from real files uploaded into the due diligence documents space. Choose this when you will receive the documents themselves, for example as a zip of the seller's folders.
- Index: the team works from an imported index of the seller's data room, and reads the documents themselves in that data room. Choose this when the seller runs the data room and you will only receive an index of its contents.
Note: You can change the document basis on the Deal details page until any documents or an index have been added. After that it is fixed.

What to do next
Work through setup in this order:
- Adding deal details
- Building your scope
- Setting up your due diligence team
Scope must come before Team, because team members are assigned to workstreams and you cannot assign anyone until workstreams exist.
