Setting up due diligence
Building your scope
The scope sets out what the due diligence will cover.
The scope sets out what the due diligence will cover. It sets out various aspects of the deal: who can see which documents, how documents are classified, what the AI checks for and how issues and DDQs are numbered. Build it before anything else.
Importing a request list
If you already have a request list, importing it is usually the quickest way to build your scope.
- Click Import request list
- Click Choose file, this can be in Word or Excel format, and upload your request list in its existing format
- Check the workstreams and sub-topics in the Review and edit step, and make any changes
- Confirm the import
The workstreams in your request list become workstreams in the scope. The requests become sub-topics and check descriptions, which the AI uses to know what to look for.
Tip: The description contextualizes the sub topics for the AI to use in the gap analysis
Building the scope manually
Adding a workstream
- Click Add next to Workstreams
- Enter the workstream name
Adding a sub-topic
- Select the workstream
- Type the name in Add a new sub-topic and click Add
- Click the arrow next to the sub-topic and the pencil icon to add a check description
You can also click Suggest sub-topics to have the AI propose sub-topics for the selected workstream. Sub-topics suggested by AI carry an AI tag.
Managing workstreams and sub-topics

Excluding instead of deleting. If the client decides part of the scope is no longer needed, for example because time is running out, exclude it rather than deleting it. You can bring it back later.
You will be prompted to add a reason for excluding a workstream.
Note: A workstream that holds DDQs already sent to the other side stays in scope. It cannot be excluded or deleted.
Reordering workstreams
Issue and DDQ reference numbers are based on the order of the workstreams. If Legal is first, Legal issues are numbered 1.1, 1.2 and so on. If you move Legal to second place, those references change to 2.1, 2.2.
To reorder the workstream you can click on the six dots on the left side of the workstream name
Good to know: Only reorder workstreams at the start, before you raise any issues or DDQs. Reordering later changes reference numbers that people may already be using in correspondence.
Setting workstream leads
Each workstream can have a lead, the person responsible for that area. Set the lead from the gear icon or the Lead toggle. Leads are shown, read only, on the Team page.
Exporting and tracking changes
- Click Export to download the scope. This is useful when agreeing the scope with the client
- Click History to see every saved version of the scope, who made it and when. Tick two versions and click Compare to see what changed
